SMILEO Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the SMILEO platform and related websites, applications, and services (collectively, the “Service”), operated by Salient Digital, LLC (“Salient Digital,” “we,” “us,” or “our”). By accessing the Service, requesting an AI smile preview, submitting your information, or otherwise interacting with the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

SMILEO is a consultation visualization platform operated by Salient Digital, LLC. It is used by licensed dental providers to generate AI-rendered smile preview images, deliver treatment proposals to their patients, and operate related consultation workflows. The Service is offered to dental practices on a subscription basis and to their patients as part of the practice's consultation experience.

You must be at least 18 years old (or the age of legal majority in your jurisdiction) to use the Service. By using the Service, you represent and warrant that you meet this requirement. Patients under the age of 18 may use the Service only with the consent and supervision of a parent or legal guardian.

The Service generates illustrative AI-rendered images of how your smile could appear after cosmetic dental treatment. These previews are provided for informational and visualization purposes only.

• AI smile previews are NOT a diagnosis, treatment plan, or medical advice.
• AI smile previews do NOT guarantee any particular outcome or result. Actual results depend on your individual anatomy, oral health, treatment selected, and the clinical judgment of your treating provider.
• AI smile previews are NOT a substitute for an in-person consultation with a licensed dental professional.
• Generated images may differ materially from actual achievable results. Some changes shown may not be clinically appropriate, recommended, or possible for your specific situation.
• Pricing, financing, and treatment options shown in any proposal are estimates only and are not binding offers. Final treatment plans, fees, and terms are determined exclusively by your treating dental provider.

When you request a smile preview, you may be asked to submit a facial photograph and contact information (name, email, phone number). By submitting this information, you confirm that:

• The photo depicts you, or you have the legal right and consent of the person depicted to submit it.
• You consent to the photo being processed by SMILEO and our HIPAA-compliant AI infrastructure for the purpose of generating a smile preview, as further described in our Privacy Policy.
• The contact information you provide is accurate and belongs to you.
• You consent to receive related email and, where you provided a phone number and granted SMS consent, text messages from SMILEO and your dental provider regarding your preview, scheduling, and follow-up.

SMILEO is a technology platform operated by Salient Digital, LLC. We are not a dental provider, do not deliver dental care, and do not establish a doctor-patient relationship with any user. The dental practice that invited you to use the Service is solely responsible for any clinical advice, diagnosis, treatment, fees charged, and care delivered. Any treatment proposal or pricing shown through the Service originates from that practice.

You agree not to:

• Submit photos of any person other than yourself (or someone for whom you have explicit consent and legal authority to act).
• Attempt to reverse engineer, scrape, or interfere with the Service or its underlying AI systems.
• Upload content that is unlawful, obscene, defamatory, or infringes the rights of others.
• Use the Service to harass any provider, patient, or third party.
• Use the Service for any purpose other than receiving or operating dental consultation experiences as intended.

The Service, including its software, design, branding, AI models, and platform content, is owned by Salient Digital, LLC and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable license to access and use the Service for its intended purpose. You retain all rights to the personal photographs you submit; by submitting them you grant Salient Digital, LLC and your dental provider the rights necessary to generate, store, and deliver your smile preview and related consultation materials.

The Service relies on third-party providers for hosting, AI processing, communications, payment, and analytics. These providers are bound by appropriate data processing or Business Associate Agreements as described in the Privacy Policy. Salient Digital, LLC is not responsible for the practices of any third-party website or service that may be linked from the Service (including a dental practice's own website).

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. SMILEO MAKES NO WARRANTY THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS, OR THAT AI-GENERATED PREVIEWS WILL BE ACCURATE, COMPLETE, OR REFLECTIVE OF ANY ACTUAL CLINICAL OUTCOME.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, SALIENT DIGITAL, LLC AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE. SALIENT DIGITAL, LLC'S AGGREGATE LIABILITY FOR ANY CLAIM ARISING FROM THE SERVICE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100).

You agree to indemnify and hold harmless Salient Digital, LLC and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

We may suspend or terminate your access to the Service at any time, with or without notice, for conduct that we believe violates these Terms or is harmful to other users of the Service, the dental providers we serve, or SMILEO's legitimate interests.

These Terms are governed by the laws of the State of Arizona, without regard to its conflict of laws principles. Any dispute arising under these Terms will be resolved exclusively in the state or federal courts located in Pima County, Arizona, and you consent to personal jurisdiction in those courts.

We may update these Terms from time to time. When we do, we will revise the “Last Updated” date at the top of this page. Material changes will be communicated through the Service or via email where appropriate. Continued use of the Service after an update constitutes acceptance of the revised Terms.
